The Conditions for Access and Use of the B2B Platform (henceforth the “B2B Conditions”) herein regulate access and use of Vueling's B2B e-Commerce Platform (the “Platform”) by those clients of Vueling who are authorised to use it (henceforth the “Clients”).

Access to the Platform must be gained via the Vueling Website: vueling.com/agencias, specifically via the link provided for this purpose on the cited website.

At any time and without prior notification, Vueling is entitled to modify the B2B Conditions herein. The modifications would be published on our website with the aim of informing our clients. The aforementioned changes performed shall in turn involve changing the version number of the B2B Conditions and their date on the homepage.

Clients (or whoever acts on their behalf) must explicitly accept the B2B Conditions the first time they access the Platform, as well as carefully reading the B2B Conditions on each and every occasion they decide to use the website in order to detect changes in their version and dates. If at any time a client does not agree with the content of a modification to the B2B Conditions herein, the Client must refrain from accessing and using the Platform and must submit an unsubscribe request to Vueling.

In order to use the Platform, all natural persons who shall be acting as representatives of the client thereafter must be registered.

The client shall be solely responsible for properly managing the identity of the user who possesses passwords for the Platform.

Once the client has received from Vueling the username and password requested for the client's user who is to operate with the Platform, the client shall be solely responsible for safeguarding them. The client shall be obliged both to ensure that the username and password are only known to those persons designated by the client and to install firewall systems and other technological impediments that prevent third parties from obtaining the aforementioned keys and using them to gain access to the Platform.

Vueling shall assume at all times that the operations performed on the Platform using the username designated by the client have been performed for and on behalf of the client in all instances. Vueling shall not be liable for any possible personality infringements that may occur and without prejudice to the collaboration that Vueling may render to the client - at their request and expense - in order to detect the cause of the aforementioned irregular operation.

Clients must immediately inform Vueling as to any indication of an irregular action having been performed on the Platform by a user. Upon request from the client, Vueling shall confidentially adopt appropriate measures to detect, pre-establish evidence for, minimise the impact of or impede the cited actions.

Likewise, Vueling is entitled at any time to notify the client that the account registered in their name is being used to gain unauthorised or mass access or actions are being performed which are contrary to the contractual relationship between Vueling and the client, good faith or the law. Vueling shall unilaterally adopt any preventative or consequential measures for minimising the impact on Vueling of the aforementioned unlawful actions and shall be entitled to cancel the account of any of user pertaining to the client, even without prior notification, for a specified unconditioned period or under those conditions deemed necessary by Vueling to be able to resume provision of the service.

Any infraction relating to the use of the Platform by a user pertaining to the client shall in turn represent a serious breach of the contract between the client and Vueling and, upon request by Vueling, this may give rise to the termination of the main collaboration contract signed by both parties, with the consequences provided for therein.

Vueling does not guarantee that operations which may be performed at any given time via the Platform will be operative throughout the lifetime of the Platform, as well as explicitly informing that the Platform is a tool offered to clients which may be withdrawn at any time, upon prior notification to all Clients 10 days in advance by way of email addressed to its partners.

The client accepts that the Platform is a Vueling service that may not be copied (neither aesthetically nor functionally), as well as acknowledging that the intellectual property rights to the software and its design belong exclusively to Vueling.

The client shall not implement any type of computer tool that automatically interacts with the Platform without express written permission from Vueling, nor shall they perform and/or automate any manual process of the Platform, such as the introduction of users or passwords for gaining access.

Vueling is entitled at any time to request that the client provide any documentation deemed necessary for supporting the realisation of certain operations, and shall be entitled to establish at their discretion systems to monitor the activities of their clients on the Platform.

The client is aware and accepts that the Platform may suffer technical errors at any time and which may even impede access to it. Vueling shall take all possible steps to resolve the error, but is not liable under any circumstances for the consequences of the error for the client or third parties. Clients may report any error they detect on the Platform to Vueling via the contact channels that are made available to them.

All instances not regulated by the B2B Conditions herein shall be regulated by the General Conditions for Accessing the Vueling website, to which they are inextricably linked and complement and which are deemed to be explicitly accepted by the client simply by using this Platform or the other Web pages of the www.vueling.com website, whereby it is each client's responsibility to review their content at all times.

For transactions subject to Royal Decree 1316/2001, of 30 November, governing the granting of rebates in respect of fares for scheduled air and maritime transport services for residents of the Autonomous Communities of the Canary Islands and the Balearic Islands and the Cities of Ceuta and Melilla, Vueling will transfer the full amount of the subsidy issued by the Spanish Ministry of Public Works and Transport that covers the remuneration or issue costs applied by the agency. Vueling shall not be liable whatsoever to the agency except for the transfer of the full amount issued by the Ministry.
